Terms of Use (Private Beta)

Exposure Collective Pty Ltd (ABN 50 614 268 361), Melbourne, Victoria, Australia · Version 2026-10-28 · Last updated 30 October 2026

The short version

  • WarpLab is beta software, shared by invitation. It can have bugs, so always check proofs, dielines and exports before anything goes to production.
  • You keep ownership of your artwork and files. We only use them to run, support and improve WarpLab, as described in our Privacy Policy.
  • We own WarpLab and it is protected by copyright. You may use it for your own business, but you may not copy it, take it apart, resell it, share your account, or use it to build a competing product.
  • You sign this agreement by typing your name. If you use WarpLab for a business, you are signing for that business, you confirm you have authority to bind it, and you and the business are both bound.
  • Keep the beta confidential, keep the app up to date, and use it on one device at a time.
  • Nothing in these terms takes away rights you have under Australian Consumer Law.

1. About these terms

These terms are an agreement between you and Exposure Collective Pty Ltd (ABN 50 614 268 361), Melbourne, Victoria, Australia ("we", "us", "our"). They apply to the WarpLab website, the WarpLab Desktop application, and any related beta services, templates, documentation and updates (together, the "Service").

By signing, creating an account, downloading, installing or using the Service you agree to these terms and to our Privacy Policy, which forms part of them. If these terms and the Privacy Policy conflict, these terms prevail on everything except how personal information is handled. If you do not agree, do not use the Service.

You confirm that you are at least 18 years old, that you can lawfully enter into this agreement, and that you are using the Service for business purposes and not for personal, domestic or household use.

2. Signing for your business

Every account must sign this agreement before using WarpLab Desktop or downloading it. You sign by typing your full name, your position and your business name and ticking the declaration. Your typed name is your electronic signature and has the same effect as a handwritten one (Electronic Transactions Act 1999 (Cth) and equivalent laws). You agree that this agreement may be formed and kept electronically and that no paper copy or counter-signature is needed.

If you use WarpLab for or on behalf of a company, partnership, trust, sole trader or any other business (the "Business"), you declare and warrant that: (a) you are authorised to sign this agreement for the Business; (b) the Business is legally bound by it as well as you personally, and "you" means both of you; (c) the Business and the details you give us are correct; and (d) you will make sure everyone in the Business who uses WarpLab through your account or at your direction follows it, and you are responsible for what they do.

If you did not have authority to bind the Business, or the Business does not exist or is not the one you named, you are personally bound by this agreement and personally liable for anything the Business would have been liable for. You and the Business are jointly and severally liable under it.

We keep a permanent record of each signature: your name, position, Business, email, the version of these terms, the exact text signed, the time, and the IP address and device details you signed from. You agree we may rely on that record as evidence of your agreement. We will ask you to sign again when these terms change in a way that matters.

3. Private beta access

The beta is available by invitation. We decide who is approved and may decline, pause or withdraw access as set out in these terms. Access is personal to your approved account.

  • One person per account. Do not share your login or let others use your account.
  • Your account can be active on one device at a time. If you sign in on another device, the first device may be signed out.
  • The desktop app must be kept up to date. We may require you to install an update before you can keep using it.

4. Your licence to use the software

Subject to these terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the WarpLab Desktop application, and to use the website, for your own internal business purposes — preparing artwork, proofs, dielines and print files for your own work and your own customers' jobs. The software is licensed to you, not sold.

We reserve every right not expressly granted to you in these terms. No licence arises by implication, estoppel or otherwise.

5. What you must not do

Except to the extent the law expressly allows despite this restriction, you must not, and must not help or permit anyone else to:

  • copy or reproduce the software, other than the copies needed to install and run it for your own use;
  • modify, adapt, translate or create derivative works of the software;
  • reverse engineer, decompile, disassemble or otherwise try to obtain the source code, algorithms, methods (including our die-line, warp, mock-up and trapping methods), file formats or data of the software;
  • extract or copy our templates, dielines, presets, libraries or other data in bulk, or use them to build a database or product of your own;
  • use the Service, or what you learn from it, to build, train, improve or benchmark a competing product or service, or publish benchmark or performance results;
  • sell, resell, rent, lease, sublicense, distribute, host or otherwise make the software or the Service available to anyone else, including as a bureau or hosted service;
  • share your account, or get around the one-device limit, sign-in, update, access, licence or usage controls;
  • use bots, scrapers or other automated means to access the Service in a way we have not approved;
  • remove or hide any copyright, trade mark or other notice;
  • upload anything unlawful, infringing or harmful (including malware), or use the Service to break the law or anyone else's rights; or
  • interfere with, probe or try to break the security of the Service. If you find a security problem, please tell us at hello@warplab.studio first.

Open-source and third-party components. Parts of the software include components that are provided under their own licences (the licence texts are included with the application). For those components, their licence terms apply and take priority over this section to the extent they give you more rights. Nothing in these terms limits any rights you have under those licences.

Your legal rights. Nothing in these terms limits any right you have under the Copyright Act 1968 (Cth) or any other law that cannot be excluded or limited by agreement.

6. Our intellectual property and copyright

We (and our licensors) own the WarpLab software, website, source and object code, algorithms, designs, templates, dielines, presets, documentation, and the WarpLab name and logo, together with all intellectual property rights in them, including updates and anything derived from them. These terms do not transfer any ownership to you.

WarpLab is protected by copyright. Copyright © Exposure Collective Pty Ltd. All rights reserved. Unauthorised copying, distribution, decompiling or reverse engineering of the software, or of its code, templates or data, is an infringement under the Copyright Act 1968 (Cth) and international copyright law, and we will enforce our rights, including by seeking injunctions, damages or an account of profits. Third-party components remain the property of their owners under their own licences.

You acknowledge that a breach of the licence, restrictions or confidentiality terms could cause us harm that money alone cannot fully fix, and that we may ask a court for an injunction or other urgent relief in addition to any other remedy.

If you send us feedback, bug reports, ideas or suggestions, you give us a free, perpetual, irrevocable, worldwide, sublicensable right to use them for any purpose without obligation to you. To the extent the law allows, you consent to anything we do with that feedback or with the software that might otherwise infringe your moral rights, and you will not assert them.

7. Your content

You keep ownership of the artwork, files, brand assets, job information and other content you submit to or create with the Service ("Your Content"), and of the proofs, mock-ups and print files you produce from it, subject to our rights in the software and templates used to produce them. We do not claim ownership of Your Content, we will not sell it, and we will not publish it (other than proofs and links that you choose to share, with the people you choose to share them with).

You give us a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce and review Your Content only as needed to provide, secure, support and debug the Service and to improve its accuracy and output quality. This includes the diagnostic and bug reports described in our Privacy Policy.

You are responsible for Your Content. You promise that you own it or have all rights and permissions needed (including from your customers and brand owners) to use it with the Service and to give us the licence above, and that doing so does not infringe anyone's rights or breach any law.

8. Checking outputs before production

WarpLab produces proofs, mock-ups, dielines, warped artwork, trapping, colour conversions and production files. During the beta these are aids, not guarantees. You are responsible for reviewing and approving every output — sizes, positions, bleed, colours, trapping, and any other production detail — before using it for printing, manufacturing or customer delivery.

Colours on screen and in conversions can differ from the printed result. Keep your original files, and run your normal prepress and printer checks. Sign-offs your customers give through WarpLab are between you and them; we are not a party to them.

9. Beta software

The Service is in beta. It may contain bugs, be incomplete, change, be interrupted, or lose data. We may change, pause or remove features during the beta, and we do not promise any support, service level, uptime or backup. Keep your own copies of your original files and important work.

10. Confidentiality

Treat the beta software, unreleased features, workflows, screenshots, pricing, performance, bugs and other non-public information about the Service ("Confidential Information") as confidential. Use it only to evaluate and use the Service for your own business, share it only with people in your Business who need it and are bound to keep it confidential, and protect it with at least reasonable care. Do not publish it, post screenshots or videos of unreleased features, or share it with anyone else unless we have made it public or given you written permission.

This does not apply to information that is already public through no fault of yours, that you already lawfully knew or independently developed, or that you are legally required to disclose (in which case tell us first, if the law allows). This obligation continues for five years after your access ends, and for as long as the information is a trade secret.

11. Your account

Give us accurate information and keep it up to date, including your Business details. Keep your login details secure and tell us promptly at hello@warplab.studio if you think someone else has accessed your account. You are responsible for activity on your account.

12. Fees

The private beta is free of charge until 1 January 2027. Paid plans start from that date, and we may also introduce usage limits. We will tell you the price before any charge applies, and you will not be charged unless you agree to it. If you do not want to move to a paid plan, you can stop using the Service.

13. Privacy

Our Privacy Policy explains what personal information we collect, how we use it and who we share it with. If Your Content includes other people's personal information, you confirm you are entitled to provide it to us for the purposes described there.

14. Your responsibility for claims

You will compensate us for loss, damage and reasonable costs we suffer from a claim by a third party, or from enforcing our rights, to the extent it arises from: Your Content (including any claim that it infringes someone's rights); your breach of the licence, restrictions, confidentiality or signing terms; or your use of the Service in breach of the law. This does not apply to the extent we caused or contributed to the loss.

15. Suspension and ending

You can stop using the Service at any time, and can ask us to close your account by emailing hello@warplab.studio.

We may suspend or end your access immediately if you breach these terms, if we reasonably believe it is needed to protect the Service, other users or the law, or if you stop being approved for the beta. We may otherwise end your access, or the beta itself, by giving you at least 14 days' notice.

When access ends, your licence ends and you must stop using and uninstall the software, and you must delete or return Confidential Information on request. Where we end your access other than for your breach, we will give you a reasonable opportunity to export Your Content. Sections that by their nature should continue (including ownership, restrictions, confidentiality, indemnity, liability, disputes and governing law) continue after that.

16. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, that you have under the Australian Consumer Law or any other law and that cannot lawfully be excluded or limited.

Where the law allows us to limit our liability for a breach of a guarantee that cannot be excluded, our liability is limited, at our option, to supplying the services again or paying the cost of having them supplied again.

17. Disclaimers and limits on liability

Subject to the section above, and to the extent the law allows: the Service is provided "as is" and "as available" during the beta, and we do not promise that it will be uninterrupted, error-free or fit for any particular purpose.

To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data, goodwill or business opportunity, or for the cost of reprints, wasted materials, missed deadlines or production errors that result from outputs you did not check. Our total liability to you arising out of or in connection with the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim, and AUD $1,000.

These limits do not apply to liability that cannot lawfully be limited, including for fraud, or for death or personal injury caused by our negligence.

18. Changes to these terms

We may update these terms, for example for legal changes, new features or the end of the beta. For changes that matter to you, we will give you reasonable notice and ask you to sign the new terms before you continue (the desktop app does this on sign-in); you may decline and stop using the Service, and we will then end your access without penalty. For minor changes (such as fixing errors or contact details) we will change the version date at the top of this page. If you keep using the website after a change takes effect, you accept the updated terms.

19. Resolving disputes

If there is a dispute, the party raising it must first give the other written notice describing it, and both will try in good faith to resolve it within 30 days. Either party may skip this step to seek urgent court relief (such as an injunction) to protect its intellectual property or confidential information.

20. Governing law

These terms are governed by the laws of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.

21. General

  • These terms and our Privacy Policy are the whole agreement between you and us about the Service, and replace earlier versions and any earlier discussions about it.
  • If part of these terms is found unenforceable, that part is read down or removed and the rest still applies.
  • If we do not enforce a right straight away, we have not given it up. A waiver is only effective in writing.
  • You may not transfer your rights under these terms without our written consent. We may transfer ours to a successor of our business.
  • We are not liable for delay or failure caused by events outside our reasonable control.
  • We may give you notices by email or through the Service; you may give us notices at hello@warplab.studio. Notices by email are received when sent, unless the sender receives a delivery failure message.
  • You and we are independent parties. These terms do not make either of us the other's agent, partner or employee, and no one else has rights to enforce them.
  • Headings are for convenience only. "Including" means including without limitation.
